BEAT LEASE AGREEMENT
This agreement between the "Licensee" and Menesh Kanwarjit ("O1M Productionz") - referred to as the "Licensor" - serves as a legally binding contract.
1. Master Use
Licensor grants Licensee a non-exclusive license to record and synchronise vocals or instruments with the Composition. Licensee may only use the instrumental for one new composition. Editing the instrumental by altering its arrangement, melodies, or sounds is prohibited.
2. Mechanical Rights
Licensee is granted a non-exclusive right to reproduce, duplicate, manufacture, and distribute up to 1,000 units of the Composition in various formats (CDs, digital downloads, etc.). Upon reaching this limit, the Licensee must renew or upgrade the lease. This license allows for unlimited free internet downloads for non-profit purposes but does not permit monetised audio streams on platforms like Spotify or YouTube.
3. Performance Rights
Licensee may use the Master Recording for unlimited non-profit performances but is not allowed to receive compensation for performances under this license.
4. Synchronisation Rights
Licensee is granted non-exclusive synchronisation rights for up to 5,000,000 non-monetised online video streams (e.g., YouTube, Vimeo). Upon exceeding this limit, a lease renewal or upgrade is required. Monetised video streams are not permitted without purchasing a separate synchronisation license.
5. Broadcast Rights
Broadcast rights are granted under this agreement, for broadcasting the Composition on radio or TV.
6. Publishing Rights
Licensee retains 100% of publishing rights.
7. Ownership
Licensee cannot sell or sublicense the instrumental. If exclusive rights to the Composition are sold, Licensee retains non-exclusive rights under this agreement. The Composition remains available for sale by the Licensor unless exclusive rights are purchased.
8. Credit
Licensee must credit the Licensor by stating "Produced by O1M Productionz" in all distributed media. Licensor reserves the right to include an audio signature on all non-exclusive instrumentals.
9. Sampling
If the instrumental contains samples, Licensee must clear any sampled material. The Licensor is not responsible for sample clearance, and Licensee is liable for any misuse of sampled content.
10. Term
This agreement is effective from the date of execution and remains in force unless exclusive rights are sold. All terms remain binding.
11. Compensation
Payment for this license is non-refundable. If Licensee fails to make timely payments or if payment is refunded, the agreement becomes null and void, and all usage rights are revoked.
12. Indemnification
Licensee agrees to indemnify the Licensor against any claims, damages, or legal fees arising from a breach of this agreement. Licensee is responsible for clearing any samples used.
13. Miscellaneous
This agreement is non-transferable and applies solely to the specified Composition. It constitutes the entire agreement between Licensor and Licensee and is binding upon their successors and legal representatives.
14. Governing Law
This agreement is governed by the laws of the United Kingdom.
By accepting this contract, the Licensee agrees to the terms and conditions, and gains non-exclusive rights to the Composition. Any breach will render the agreement null and void, revoking all usage rights. Unauthorised selling of recordings containing the Composition after revocation will result in legal action.
